TERMS AND CONDITIONS

1. INTRODUCTION

Welcome to Boston AI University. These Terms and Conditions ("Terms") govern your access to and use of the Boston AI University website, virtual learning platform, certification programs, educational materials, webinars, consultation services, and all related services (collectively, the "Services"). By accessing, registering for, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must immediately cease accessing or using our Services.

Boston AI University ("BAU," "we," "us," or "our") is a 100% virtual educational institution specializing in AI implementation certifications and professional development. These Terms constitute a legally binding agreement between you ("you," "your," "User," or "Participant") and Boston AI University, governing your access to and use of the Services, including any content, functionality, and services offered on or through our website, learning management system, virtual classrooms, and all other digital platforms operated by BAU.

We reserve the right to modify these Terms at any time in our sole discretion. Any changes will be effective immediately upon posting the updated Terms on our website. Your continued use of the Services following the posting of revised Terms constitutes your acceptance of such changes. You are expected to review these Terms periodically to remain informed of any updates.

These Terms include and incorporate by reference our Privacy Policy, Enrollment Agreements, Code of Conduct, Acceptable Use Policy, and any other policies or guidelines posted on our website or platform. The Services are offered subject to your acceptance of all terms and policies referenced herein.

2. DEFINITIONS

In these Terms, the following definitions apply:

"Account" refers to the registered user profile created to access our Services, including all associated credentials, personal information, usage data, and settings configured by the User.

"Certification Program" refers to any educational program, course, workshop, seminar, or training series offered by Boston AI University leading to a certification, credential, or formal recognition upon successful completion of all requirements as determined in BAU's sole discretion.

"Content" refers to all materials, information, text, images, graphics, animations, videos, audio files, webinars, lectures, presentations, documents, data, databases, software, code, programs, courseware, assignments, projects, assessments, tests, quizzes, feedback, results, reports, and other resources made available through our Services, regardless of format or medium.

"Enrollment Agreement" refers to the specific agreement governing participation in a Certification Program, which is supplemental to these Terms and details program-specific requirements, expectations, timelines, assessments, fees, refund policies, and certification criteria.

"Faculty" refers to any instructor, teacher, professor, lecturer, mentor, coach, teaching assistant, guest speaker, or other educational professional engaged by BAU to deliver, support, or evaluate educational content.

"Intellectual Property" refers to all proprietary rights including without limitation copyrights, trademarks, service marks, trade names, domain names, trade dress, logos, trade secrets, know-how, patents, patent applications, moral rights, contract rights, and other intellectual property and proprietary rights, whether registered or unregistered, in any jurisdiction worldwide.

"Participant Materials" refers to all content, information, data, code, projects, assignments, and other materials submitted, created, or provided by Participants in connection with their use of the Services or participation in Certification Programs.

"Platform" refers to the entirety of the virtual learning environment, learning management system, virtual classroom technology, collaboration tools, assessment systems, and all other technological infrastructure used to deliver our Services.

"User Data" refers to all information provided by or collected from users in connection with their use of the Services, including but not limited to personal information, account information, program progress, assessment results, engagement metrics, usage patterns, and technical data.

"Virtual Campus" refers to the comprehensive digital environment in which all BAU educational activities, administrative functions, and student services take place.

3. ACCOUNT REGISTRATION AND ELIGIBILITY

3.1 Account Creation and Information Requirements

To access certain features of our Services, you must create a user account. During the registration process, you will be required to provide certain personal information, including but not limited to your full legal name, email address, physical address, phone number, professional background, educational history, and payment information. You represent and warrant that all information provided during registration and maintained in your account is accurate, current, complete, and truthful.

You agree to promptly update your account information to maintain its accuracy and completeness at all times. You acknowledge that failure to provide accurate, current, and complete information may result in the immediate suspension or termination of your account and access to the Services. BAU reserves the right to verify the accuracy of any information you provide and to request additional information or documentation as necessary.

The registration process may include identity verification steps designed to confirm that you are who you claim to be. These steps may include, but are not limited to, email verification, phone number verification, professional reference checks, educational credential verification, and government-issued identification verification. You agree to cooperate with all reasonable verification requests.

3.2 Account Security and Unauthorized Access

You are solely responsible for maintaining the confidentiality and security of your account credentials, including your username and password. You agree to select a strong, unique password that you do not use for other services, and to change your password regularly. You must not share your account credentials with any third party or allow any third party to access your account.

You are solely responsible for all activities and transactions that occur under your account, whether or not authorized by you. You agree to immediately notify Boston AI University of any unauthorized use of your account, any breach of security, or any other suspicious activity associated with your account by contacting our security team at security@bostonai.university.

3.3 Eligibility Requirements and Representations

You must be at least 18 years of age or the age of majority in your jurisdiction, whichever is greater, to create an account and use our Services. If you are accessing or using the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.

By creating an account or using our Services, you represent and warrant that you meet all eligibility requirements stated in these Terms, on our website, and in any applicable Enrollment Agreement, and that your use of the Services will not violate any applicable law, regulation, or third-party right.

3.4 Restricted Access and Account Termination

Boston AI University reserves the right, in its sole discretion, to refuse registration, suspend, terminate, or restrict access to any account or to the Services, in whole or in part, temporarily or permanently, without prior notice and without liability, for any reason including but not limited to violation of these Terms, conduct that BAU believes is harmful to other users or the business of BAU, failure to pay fees when due, providing false account information, or suspected fraudulent activity.

Upon termination, your right to access and use the Services will immediately cease. BAU may, but is not obligated to, delete any User Data or Participant Materials associated with your account following termination. Some provisions of these Terms will survive termination, including ownership provisions, warranty disclaimers, indemnity obligations, and limitations of liability.

4. CERTIFICATION PROGRAMS

4.1 Enrollment and Admission

Enrollment in our Certification Programs is subject to a comprehensive application and admission process. The enrollment process typically includes submission of a complete application, demonstration of meeting all stated prerequisites, payment of applicable fees, review and evaluation by the BAU admissions committee, acceptance of the program-specific Enrollment Agreement, and completion of any required pre-program preparation activities.

BAU maintains sole and absolute discretion in all admission decisions. Meeting the minimum stated prerequisites does not guarantee admission to any Certification Program. The Enrollment Agreement for each Certification Program constitutes a legally binding contract between you and BAU, supplemental to these Terms.

4.2 Program Changes and Cancellations

Boston AI University reserves the right to modify, suspend, or discontinue any aspect of our Certification Programs at any time, including program content, faculty, structure, schedule, assessment methods, and availability. For material changes that substantially affect enrolled Participants, we will make reasonable efforts to provide advance notice.

BAU reserves the right to cancel any scheduled Certification Program due to insufficient enrollment, faculty unavailability, technical issues, or other reasons determined in BAU's sole discretion. In the event of program cancellation, enrolled Participants will be offered appropriate alternatives including transfer to future programs or refunds as specified in the applicable refund policy.

4.3 Prerequisites and Participant Responsibilities

Each Certification Program has specific prerequisites designed to ensure that Participants have the necessary foundation to succeed. It is solely your responsibility to accurately represent your qualifications, ensure you meet all stated prerequisites, maintain prerequisites throughout the program, obtain required technology and resources, allocate sufficient time for program activities, actively participate in required components, complete assignments within deadlines, maintain academic integrity, and engage respectfully with faculty and other participants.

Failure to meet these responsibilities may result in unsatisfactory progress, inability to complete the program successfully, or dismissal from the program without refund.

4.4 Certification Requirements and Assessment

Certification is awarded upon successful completion of all program requirements as determined in BAU's sole discretion. Requirements typically include attendance and participation in required sessions, completion of assignments and assessments, achievement of minimum passing scores, successful completion of certification projects, compliance with academic integrity standards, and payment of all fees.

BAU maintains rigorous standards for certification and faculty have sole authority in evaluating performance and determining whether requirements have been met. All assessment decisions are final, though BAU may offer limited opportunities for resubmission or retaking according to policies in the Enrollment Agreement.

4.5 No Guarantee of Outcomes

While our Certification Programs are designed to develop specific skills, Boston AI University makes no guarantees regarding employment opportunities, career advancement, salary increases, business success, or other specific outcomes from completing our programs. The value derived from programs depends on numerous factors outside our control including prior experience, effort, implementation of content, and market conditions.

5. PAYMENTS AND REFUNDS

5.1 Fees and Payment Terms

All fees for Boston AI University Services are stated in US Dollars unless explicitly stated otherwise. Current fee schedules are published on our website and detailed in program descriptions and Enrollment Agreements. You agree to pay all applicable fees according to the specified payment schedule using approved payment methods.

By providing payment information, you represent that you have the legal right to use the payment method and authorize BAU to charge for all applicable fees. For installment plans, you authorize automatic charging according to the schedule in your Enrollment Agreement.

5.2 Taxes and Additional Charges

All fees are exclusive of applicable taxes, duties, and government-imposed charges. You are responsible for all such additional costs, which may vary based on your location and payment method. International participants may incur currency conversion fees, international transaction fees, and local taxes.

5.3 Refund Policy and Cancellations

Refunds are governed by the specific policy in your Enrollment Agreement. Generally:

  • Full Refund: Available if withdrawal occurs at least 14 days before program start
  • Partial Refund (50%): Available if withdrawal occurs between 13 days before and program start date
  • No Refund: After program has commenced

Application fees are non-refundable. If BAU cancels a program, participants receive full refunds or may transfer to alternative programs.

Refund Process: All requests must be submitted in writing to refunds@bostonai.university with required documentation. Approved refunds are processed using the original payment method within 10-15 business days.

5.4 Late Payments and Collections

Late payments may result in fees up to 5% of the missed amount or $50 (whichever is greater), service suspension, program dismissal, and certification withholding. BAU may engage collection agencies and report delinquent accounts to credit bureaus where permitted by law.

6. INTELLECTUAL PROPERTY RIGHTS

6.1 Ownership of Content and Platform

All Content and the Platform are owned by Boston AI University or its licensors and protected by intellectual property laws. This includes course materials, videos, text, graphics, software, methods, documentation, trademarks, and all other materials. Nothing in these Terms transfers ownership rights to you.

6.2 Limited License to Access and Use Content

Subject to compliance with these Terms and payment of fees, BAU grants you a limited, non-exclusive, non-transferable, revocable license to access and use Content solely for personal, non-commercial educational purposes for the duration of your enrollment plus any additional access period specified in your Enrollment Agreement.

6.3 Restrictions on Content and Platform Use

You agree not to copy, reproduce, modify, distribute, sell, or create derivative works from the Content; decompile, reverse engineer, or derive source code; remove proprietary notices; use data mining or automated collection methods; collect user information; impersonate others; use for illegal purposes; or interfere with the Services.

6.4 Participant Materials and Feedback

By submitting Participant Materials, you grant BAU a worldwide, non-exclusive, royalty-free, perpetual license to use, reproduce, modify, and display such materials for educational, promotional, and service improvement purposes. You retain ownership but acknowledge materials may be reviewed by faculty and shared as examples.

6.5 Trademarks and Brand Assets

Boston AI University trademarks may not be used without written permission. Certified graduates may state their certification status and use provided credential designations subject to continuing compliance with these Terms.

7. USER DATA AND PRIVACY

7.1 Data Collection and Use

BAU collects User Data including account information, educational activity data, payment information, and technical data to provide Services, administer programs, process payments, communicate with users, personalize experiences, and improve offerings. Detailed information is provided in our Privacy Policy.

7.2 Data Security and Protection

BAU implements reasonable safeguards to protect User Data but cannot guarantee absolute security. You provide data at your own risk and should protect your account credentials. We retain data as necessary for stated purposes and legal requirements.

7.3 User Data Rights

Depending on jurisdiction, you may have rights to access, correct, delete, restrict processing, or port your data. Contact privacy@bostonai.university to exercise these rights. Some limitations may apply based on legitimate interests or legal obligations.

8. DISCLAIMERS AND LIMITATIONS OF LIABILITY

8.1 Warranty Disclaimer

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. BAU DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. BAU DOES NOT WARRANT THAT SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8.2 Limitation of Liability

IN NO EVENT SHALL BAU BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY. TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO BAU IN THE 12 MONTHS PRECEDING THE CAUSE OF ACTION, OR $100 IF NO PAYMENT WAS MADE.

8.3 Indemnification

You agree to defend, indemnify, and hold harmless BAU from claims arising from your violation of these Terms, use of Services, violation of rights of others, violation of applicable laws, submitted materials, or misrepresentations.

9. DISPUTE RESOLUTION AND GOVERNING LAW

9.1 Governing Law

These Terms are governed by Massachusetts law without regard to conflict of law provisions.

9.2 Dispute Resolution Process

Disputes must first be addressed through good-faith negotiation by contacting legal@bostonai.university. If unresolved after 30 days, disputes shall be resolved through binding arbitration administered by the American Arbitration Association, except for small claims court matters and intellectual property disputes.

9.3 Class Action Waiver

YOU AND BAU AGREE THAT DISPUTES MAY ONLY BE BROUGHT IN INDIVIDUAL CAPACITY AND NOT AS PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

9.4 Venue and Jurisdiction

For non-arbitrated disputes, you submit to exclusive jurisdiction of courts in Suffolk County, Massachusetts.

10. GENERAL PROVISIONS

10.1 Entire Agreement

These Terms, together with the Privacy Policy, Enrollment Agreements, and other incorporated policies, constitute the entire agreement between you and BAU regarding the Services.

10.2 Severability

If any provision is found invalid, it shall be modified to be enforceable while preserving intent, or severed if modification is not possible, with the remainder remaining in effect.

10.3 Assignment

You may not assign these Terms without BAU's written consent. BAU may freely assign these Terms, including in connection with mergers, acquisitions, or asset sales.

10.4 Modifications

BAU may modify these Terms at any time by posting updated Terms with revision date. Material changes affecting active enrollments will be subject to additional notice requirements.
